Partnerships & Corporations
As your business grows, your needs and objectives may change, which may require a change in the “form” of your business. We utilize our business and legal expertise in counseling and structuring small businesses, whether closely held or family based businesses. We spend the time to understand your objectives so that we can effectively plan for our client’s future business and legal concerns. Although we actively litigate partnership and corporate issues, our goal is to assist our client in avoiding litigation, and therefore we counsel our clients in areas of acquisitions and formation, termination and disposition of interest, resolutions of disputes involving control and management, buy/sell agreements, and other issues pertaining to corporations, partnerships and joint ventures.
We also assist and counsel our clients in the day-to-day documentation of running an effective business. This involves review and analysis of everything from “form” purchase orders and invoices to contracts, letters of credit, and proposals. The goal is to minimize our client’s risks and avoid potential litigation. We have experience in assisting businesses of all types, including retail, industrial, manufacturing, contractors and subcontractors, developers, escrow companies, accountants, physicians, etc., and in assisting them with documentation.

of creditor committees.

Employment & Business
We think one of the best ways that we can help you is before a “problem” arises. We’ve found that employment litigation often results when there is a breakdown of communication between employer-employee or the misapplication of employment law. We will act as both counselors and litigators to protect your business concerns.
One of the best ways to avoid conflict, and benefit your company, is the creation of an employee handbook and development of personnel policies and procedures. We counsel our employer clients on all issues of employment law, including employee discipline and discharge, work place privacy, disability law, and wage-hour compliance. We also offer in-house meetings regarding such issues as discrimination and sexual harassment. This is truly one area of law in which “an ounce of prevention is worth a pound of cure.”
